Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website brunscale.com (the "Website") and the services provided by Brunscale, a trading name of Performatics Kft. ("Brunscale", "we", "us", or "our"). By accessing the Website or engaging our services, you agree to these Terms.

1. About us

Brunscale is a trading name of Performatics Kft., a company registered in Hungary. You can contact us at gabor@brunscale.com.

2. Services

Brunscale provides business-to-business lead generation and appointment-setting services, including cold outbound campaigns, prospect research, and related marketing services (the "Services"). The specific scope, deliverables, and commercial terms of any engagement are set out in a separate agreement, proposal, or order confirmation between Brunscale and the client ("Client"). In the event of a conflict between these Terms and a signed agreement, the signed agreement prevails.

3. Client responsibilities

The Client agrees to:

  • provide accurate and complete information necessary for Brunscale to deliver the Services;
  • ensure that any materials, brand assets, or content it provides do not infringe third-party rights;
  • comply with all applicable laws in connection with its use of the Services, including marketing, anti-spam, and data protection laws;
  • cooperate in a timely manner, including responding to requests, approvals, and scheduling as reasonably required.

4. Fees and payment

  • Fees for the Services are set out in the applicable agreement, proposal, or invoice.
  • Unless otherwise agreed, invoices are issued in advance or on a recurring basis and are payable by the due date stated on the invoice, typically via payment link or bank transfer.
  • Recurring fees (including any monthly technology fee covering tools and infrastructure) continue for the duration of the engagement until terminated in accordance with these Terms or the applicable agreement.
  • Fees are exclusive of VAT and any other applicable taxes unless stated otherwise.
  • Late or non-payment may result in suspension of the Services.

5. Term and termination

  • The engagement begins on the start date agreed between the parties and continues until terminated.
  • Either party may terminate the engagement in accordance with the notice terms set out in the applicable agreement, or, where no such terms exist, on reasonable written notice.
  • We may suspend or terminate access to the Services immediately if the Client breaches these Terms or fails to pay amounts due.
  • Termination does not relieve the Client of the obligation to pay fees accrued up to the effective date of termination.

6. Intellectual property

All intellectual property rights in the Website, and in any materials, methods, systems, and processes developed by Brunscale, remain the property of Brunscale unless expressly agreed otherwise in writing. Deliverables specifically produced for the Client are licensed or assigned to the Client as set out in the applicable agreement.

7. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services and to use it only for the purposes of the engagement, except where disclosure is required by law.

8. Data protection

Each party will comply with applicable data protection laws, including the GDPR, in connection with the Services. Our handling of personal data is described in our Privacy Policy. Where Brunscale processes personal data on behalf of the Client, the parties will enter into a data processing agreement where required.

9. Warranties and disclaimers

We provide the Services with reasonable skill and care. Except as expressly stated, the Services and the Website are provided "as is" and "as available", and we make no warranties, whether express or implied, regarding specific results, outcomes, or the number of leads or meetings generated. Lead generation results depend on many factors outside our control, including market conditions and Client cooperation.

10. Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for any indirect, incidental, or consequential loss, or for loss of profits, revenue, data, or business opportunities;
  • our total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by the Client to Brunscale in the three (3) months preceding the event giving rise to the liability.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

11. Indemnification

The Client agrees to indemnify and hold Brunscale harmless from any claims, damages, or liabilities arising out of the Client's breach of these Terms, its misuse of the Services, or its violation of any law or third-party rights.

12. Governing law and jurisdiction

These Terms are governed by the laws of Hungary. The courts of Hungary shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where mandatory law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. The updated version will be indicated by the "Last updated" date at the top of this page. Continued use of the Website or Services after changes take effect constitutes acceptance of the revised Terms.
